General Counsel, Corporate Secretary and Chief Compliance Officer

Ellig Group is conducting the search for the General Counsel for a $6B+ global manufacturing company in the food ingredients segment. This is an opportunity to serve as a strategic advisor and key business partner to the CEO, board, and executive team of a NYSE-listed Fortune 500 Company currently executing a strategy focused on making bold moves for global expansion. The company has a sound balance sheet with consistently strong financial performance, cash on hand, and a pipeline ready for sizable international acquisitions.
Through significant investments in R&D and strategic acquisitions, the company is delivering innovative, cost-effective ingredients to stay ahead of consumer trends.
Opportunity to work on complex and cutting-edge legal and business issues around the globe and oversee the addition and structuring of new JVs and businesses.
Reporting directly to the CEO, the General Counsel will serve as a key member of a collaborative, performance-minded, and purpose-driven management team who is focused on transforming the company in the areas of diversity & inclusion, safety and compliance, ESG, customer experience, cost management, and innovation.
The General Counsel must be based in the company's Chicagoland area global headquarters.
Prior experience as a public company general counsel, or as the lead counsel for a large division of a large global company, is strongly preferred. Other requirements:
15+ years of legal experience as a proactive, corporate generalist who has handled business law matters; contracts; public company governance including securities, public company reporting and regulatory compliance, ESG strategy and reporting, international M&A, and intellectual property; ethics and compliance.
Experience attending and presenting at Board of Directors and Board Committee meetings.
Experience functioning as an entrepreneurial, strategic advisor to the executive team and board.
Creative and passionate about growing the business while serving as the ethical compass for the Company.
Familiarity with activist strategy, shareholder issues, and executive compensation is preferred.
