POSITION SUMMARY Assistant Counsel works directly with our business leaders, vendors and clients under the direction of the Senior Corporate Counsel, to support our contract and legal needs. The Assistant Counsel will draft, review, and negotiate Ruffalo Noel Levitz client and vendor contracts, and identify and resolve business and legal issues. Assistant Counsel is self-motivated, organized, customer service-oriented, pragmatic and proactive in their approach to contracting.
ESSENTIAL DUTIES/RESPONSIBILITIES: (not limited to) • Drafting, reviewing, and negotiating commercial agreements, including Master Service Agreements, Statements of Work, software licenses, and other company agreements. • Conducting legal review of requests for proposals and collaborating with proposal development teams. • Assist in implementing compliance processes relevant to the organization. • In coordination with the Senior Corporate Counsel, provide advice and counsel to business leads on a wide variety of corporate and commercial issues arising in day-to-day operations. • Cultivating a cooperative, creative, results-oriented work environment across departments that addresses our business and legal issues. • Training internal teams on relevant contract and legal topics. • Willingly assist legal team colleagues with their projects and activities to contribute to a team centric atmosphere and to balance workloads
QUALIFICATIONS: Education, Licenses/Certifications, Skills and Work Experience: Required: • 3-5 years professional experience as a practicing attorney with JD degree from an ABA- accredited law school and be a member in good standing of a state bar. • Experience in leading negotiations of commercial contracts. • Ability to provide legal advice that balances business and legal risks. • Possesses sound decision-making skills as well as excellent organizational and analytical skills • Excellent verbal, interpersonal and written communication skills; exhibits tact, diplomacy, and a high level of professionalism. • Results-driven; predisposed to getting the end result on/before deadline and with exceptional outcomes. • Flexibility to accept and identify challenges and changes and react quickly. • Proficient in Excel, Word, PowerPoint and Outlook. • Infrequent light physical effort required. • Must be able to work in an office environment where the noise level is moderate.
Preferred: • Experience working with public and private nonprofit organizations. • Software Licensing and Intellectual Property, TCPA, and state solicitation laws and/or other regulatory compliance. • Prior in-house counsel experience.
